Membership Agreeement

1. PARTIES

This Membership Agreement (“Agreement”), regulates the terms and conditions between Rhodium Mağazacılık ve Dış Ticaret Anonim Şirketi (“Rhodium”) and the member visitor ( “Member”) regarding the membership of the Member to the website with the domain name www.rhodium.com.tr (“Website”) and the use of the services offered through the Website.

Rhodium and the Member shall be referred to collectively as the “Parties” and individually as a “Party”.

2. GENERAL PROVISIONS

In order to create a membership account, it is sufficient for the visitor to enter the membership account information correctly and up-to-date and click on the approval/permission box. With the creation of your membership account, this Agreement is concluded by the Parties.

The Member shall be solely responsible for all damages that may arise due to not entering and / or keeping the membership account information correctly and up-to-date. In addition, the Member accepts and undertakes that he/she will keep his/her membership account name and password confidential, will not share it with third parties and will be liable for any damages that may arise if he/she shares it. Information about the membership account may be changed and/or updated after logging into the membership account. The membership account is exclusive to the Member who creates this account; The Member shall not make the membership account available to a third party and shall not use the membership accounts of other Members.

The member may terminate his/her membership at any time via membership account or by written notification.

Rhodium may, at its discretion, take the Website offline, modify it, or discontinue the services provided through the Website. Likewise, Rhodium may terminate memberships for various reasons, including those set out below. In such cases, Rhodium does not accept any responsibility.

If the Member purchases a product/service via the Website, this transaction shall be subject to the Distance Sales Agreement and other consumer agreements to be concluded with Rhodium.

Rhodium reserves the right to change all kinds of services, products, terms of use of the Website, the terms of this Agreement and the information provided on the Website without any prior notice, to reorganise the Website, or stop its publication. Changes take effect at the time of publication on the Website. These changes are deemed to be accepted with the use of the Website or access to the Website. These terms are also valid for other linked web pages. The Member shall be deemed to have accepted these changes unless he/she expressly rejects them. The Member is recommended to check the terms and currency of this Agreement before each transaction to be performed on the Website.

3. OBLIGATIONS OF THE MEMBER

The Member shall not use the Website in an unlawful manner. In particular, the Member shall not fill in membership account information with false or misleading information and shall not create membership account information on behalf of fictitious visitors.

Being aware of the global nature of the Internet, the Member agrees to comply with all applicable regulations and national and international procedures regarding online behaviour and acceptable content, and in particular with all applicable laws regarding the transmission of technical data.

The Member shall not use the Website in a manner contrary to law and morality, especially in the cases listed in the "Terms of Use Article 2 User Behaviour”. In particular, the Member shall not fill in membership account information with false or misleading information and shall not create membership account information on behalf of fictitious visitors.

In the event of non-compliance with the Terms of Use of the Website or the terms of this Agreement, Rhodium reserves the right to claim compensation from the Member at any time arising from non-compliance with these conditions. In addition, in the event that the Website or any other service of Rhodium is used by the Member in violation of the Terms of Use, Rhodium may terminate the membership in question and/or activate any intermediary to terminate the membership without notice. In such cases, the Member shall not have any claim against Rhodium under any name whatsoever.

4. CONFIDENTIALITY AND PROCESSING OF PERSONAL DATA

By creating a membership account and concluding this Agreement, the Member declares and accepts that he/she has seen and reviewed the "Customer Clarification Text" prepared by Rhodium within the framework of the Personal Data Protection Law No. 6698 and relevant legislation, in accordance with the "Privacy and Cookie Policy"; accordingly, he/she gives explicit consent to the collection, processing and transfer of personal data to third parties. Regarding the protection and processing of your personal data and your rights in this regard, you can contact us through the communication channels specified in the “Contact” tab on the homepage of the Website.

Privacy and Cookie Policy, Terms of Use and Customer Clarification Text are an integral part of this Agreement.

In case you make changes/updates regarding your membership account information, the Member's permissions/approvals regarding the processing of personal data, including sensitive personal data, transferring to third parties in Türkiye and abroad and receiving commercial electronic communication will also apply to the changed/updated/newly added information.

5. INTELLECTUAL PROPERTY

Rhodium is the owner or licensee of the general appearance and design of the Website and all information, images, Rhodium brand and other trademarks, www.rhodium.com.tr domain name, logos, icons, demonstrative, written, electronic, graphic or machine-readable technical data, computer software, including all materials ("Materials") and all intellectual and industrial property rights related to them and are under legal protection. No Material contained on the Website may be modified, copied, reproduced, translated into another language, republished, uploaded to another computer, posted, transmitted, presented or distributed, including code and software, without prior permission and reference. The whole or part of the Website may not be used on another website without authorisation. Any behaviour to the contrary entails civil and criminal liability. All other rights of Rhodium not expressly stated herein are reserved.

The Website also contains information from third parties and links to other websites. Rhodium does not check the accuracy or content of the information. Therefore, Rhodium is not liable for any damages resulting from the use of, access to, or inability to use such information or the content of other websites.

6. DISPUTE RESOLUTION AND APPLICABLE LAW

If any of the provisions of this Agreement is invalid by reason of a decision of a court or administrative authority or a change in the provisions of legislation, this shall not affect in any way the validity of the Agreement or the conformity of the other provisions of the Agreement.

This Agreement shall be governed by the laws of the Republic of Türkiye.

Any dispute between Rhodium and the Member concerning the existence, interpretation, enforcement or breach of this Agreement shall, unless otherwise agreed, be subject to the exclusive jurisdiction of the Istanbul Central Çağlayan Courts and Enforcement Offices.

7. COMMERCIAL ELECTRONIC COMMUNICATION

By clicking the approval/permission box for commercial electronic transmission of the Member, the Member consents to the sending of commercial electronic communication by Rhodium via SMS/text message, instant notification, e-mail, social media and online communication networks and other electronic communication tools for the purposes of marketing, promotion, advertisement, advertisement, promotion, etc., including digital marketing regarding products and services, and also for notifications regarding the membership account, within the framework of the relevant legislation (at least one of the communication preferences for receiving e-mail or SMS via Rhodium systems is open and the necessary approvals are given for the same communication preference(s) via the Message Management System ("MMS").

The Member may at any time declare to Rhodium, through the relevant electronic communication channels or by performing the rejection process specified in our commercial electronic communication, that he/she has ceased to receive commercial electronic communication. This request of the Member is processed as soon as possible specific to the relevant electronic communication channel(s). However, pursuant to consumer legislation and other legislation, the information, documents, and messages that Rhodium is obliged to send to the Member will continue to be sent to the relevant electronic communication channel(s).

8. EFFECTIVENESS

The Member declares, accepts, and undertakes that he/she has read, understood, and agreed to all the provisions of this Agreement and confirms the accuracy of the information provided about himself/herself.
